1. Agreement to Terms

Welcome to Pooolz! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "user"), and Pooolz ("we," "us," or "our"), concerning your access to and use of the Pooolz website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Description of Service

Pooolz provides a collaborative importation platform where users can join together in groups ("Pooolz") to collectively meet a product's Minimum Order Quantity (MOQ). This allows users to purchase goods at a lower price than would be available for individual small-quantity purchases. We facilitate the group formation, payment collection, and oversee the bulk shipping and final delivery process.

3. User Accounts and Responsibilities

  • Registration: To use many features of the Services, you must register for an account. You agree to provide true, accurate, current, and complete information about yourself as prompted by the registration form.
  • Account Security: You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account.
  • User Conduct: You agree not to use the Service for any unlawful purpose or in any way that interrupts, damages, or impairs the service.

4. The Poool (Group Buying) Process

  • Joining a Poool: By joining a Poool, you are making a binding commitment to purchase the specified quantity of a product at the stated group price, contingent upon the Poool reaching its target quantity.
  • Reaching the MOQ: A Poool is considered "funded" when the target quantity (typically the MOQ) is met by the end date. We reserve the right, at our sole discretion, to fund a Poool even if the MOQ is not fully met.
  • Payment: You agree to provide valid payment information at the time of joining or upgrading a Poool. Your payment will be processed upon joining. All payments are processed through our third-party payment processor, Paystack.
  • Failure to Fund: If a Poool is not funded by its end date, it may be marked as "failed." In this event, all participants will be refunded in full according to our refund policy and the policies of our payment processor.

5. Payments, Shipping, and Delivery

  • Pricing: All prices are listed in a base currency (USD) and may be displayed in your local currency for convenience. The final amount charged will be in the local currency specified at checkout.
  • Shipping: We coordinate the bulk international shipping from the country of origin to the destination country (e.g., Ghana). Timelines provided for shipping, customs clearance, and delivery are estimates only and are not guaranteed. Delays can occur due to customs, logistics, and other factors beyond our control.
  • Customs and Duties: All prices shown are inclusive of estimated customs duties and taxes unless explicitly stated otherwise. Pooolz handles the customs clearance process for the bulk shipment.
  • Final Delivery: Once the bulk shipment arrives and is cleared, we will arrange for the "last mile" delivery of your specific quantity to the shipping address you provided at checkout. You are responsible for ensuring your shipping address is accurate and up-to-date at the time of purchase.

6. Cancellations and Refunds

  • Before Funding: You may be able to cancel your participation in a Poool before its status changes to "funded." Please check the specific Poool details.
  • After Funding: Once a Poool is "funded," the bulk order is placed with the supplier, and cancellations are not possible. Your commitment is final.
  • Refunds: Refunds will only be issued in the event of a "failed" Poool or if we are unable to deliver the product due to unforeseen circumstances (e.g., supplier issues, catastrophic shipping failure).

7. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Pooolz and its licensors.

8. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Governing Law

These Terms shall be governed by and defined following the laws of Ghana. Pooolz and yourself irrevocably consent that the courts of Ghana shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

10. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms.
